MASTER SERVICE AGREEMENT (MSA)

This Agreement is entered into on [DATE] between:

1. STRUCTURE & STATEMENTS OF WORK
This MSA sets out standard terms governing all future work. Specific project deliverables, fees, and timelines will be agreed upon in separate Statements of Work ("SOW") or Project Proposals executed by both parties.

2. PAYMENT TERMS
Unless specified otherwise in an SOW:
  • Invoices are raised upon milestone completion or monthly.
  • Payment due date is [7/15/30] days from invoice date.
  • Late payments accrue interest at 1.5% per month or the maximum legal rate.

3. INTELLECTUAL PROPERTY & RIGHTS
Upon full payment of all fees under the applicable SOW, Provider assigns to Client all rights to final deliverables. Provider retains pre-existing tools, code libraries, and generic design patterns.

4. CONFIDENTIALITY
Both parties agree to hold confidential any proprietary business details, technical specifications, and client data shared during any project under this MSA.

5. WARRANTIES & LIMITATION OF LIABILITY
Provider guarantees services will be performed with professional quality and skill. Total liability under any SOW shall not exceed the fees paid by Client under that specific SOW.

6. TERM & TERMINATION
This MSA remains valid until terminated by either party with [30] days written notice. Termination of this MSA does not automatically cancel active SOWs unless explicitly stated.

7. GOVERNING LAW
This Agreement is governed by the laws of India.
